Please read the following Terms and Conditions ("Agreement") carefully before using our Digital Signage Solution ("Service"). This Agreement sets forth the legally binding terms and conditions for your use of the Service provided by CloudyFy TV.
By using the Service, you agree to be bound by this Agreement and any additional terms and conditions, policies, or guidelines provided by CloudyFy TV. If you do not agree to these terms, you should not use the Service.
The contracting party for the Service is Silicon IT Hub Pvt. Ltd., B1-Ground Floor, Safal Profitaire, Corporate Rd, Prahlad Nagar, Ahmedabad, Gujarat 380015, IndiaSilicon IT Hub Pvt. Ltd., B1-Ground Floor, Safal Profitaire, Corporate Rd, Prahlad Nagar, Ahmedabad, Gujarat 380015, India, which sells CloudyFy TV both in Indian rupees and in US dollars.
The Digital Signage Solution provided by CloudyFy TV allows you to manage and display digital content on screens or displays using our software platform. See the players page at /players/ for the full list of supported devices.
To use the Service, you must create a user account. You are responsible for maintaining the security of your account and password. You agree to provide accurate and complete information during the registration process. You are solely responsible for any activity that occurs under your account.
Subject to your compliance with this Agreement, CloudyFy TV grants you a non-exclusive, non-transferable, revocable license to use the Service for your own internal business use. You may not resell or redistribute the Service or any portion thereof without prior written consent from CloudyFy TV.
The Service is sold to businesses and organisations for their own commercial purposes. It is not offered for personal, household or domestic use, and an account is opened by a person acting for the organisation that will use it, not in a personal capacity.
You are solely responsible for the content displayed through the Service. You represent and warrant that you have the necessary rights to use and display all content uploaded or shared through the Service. CloudyFy TV does not claim ownership over any content, but by using the Service, you grant CloudyFy TV a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, distribute, and display the content as necessary to provide the Service.
You agree not to:
A new account starts with a 7-day free trial of the plan chosen, with that plan's full device ceiling and allowances. No card is required to start the trial, one trial is available per organisation, and this Agreement applies to your use of the Service during it.
Nothing is charged during the trial, and nothing is charged when it ends. The account continues only if you start a paid subscription, so there is no renewal to cancel if you decide not to subscribe. Once a subscription starts, the Fees and Payment clause below applies to it.
CloudyFy TV may change or withdraw the trial for accounts that have not yet started one, and may end a trial immediately if it is used in breach of the Restrictions above.
The Service may have associated fees, which will be communicated to you separately. You agree to pay all fees in a timely manner. The Service is billed per device, up to each plan's device ceiling, as described on the pricing page. Plans are billed monthly or through a discounted yearly option, and payment is processed through our third-party payment processor. A plan is a subscription that renews automatically at the end of each billing period until it is cancelled; cancelling stops the next renewal, and access continues until the end of the period already paid for. Failure to pay may result in the suspension or termination of your account. For when a charge is refunded, see the Refund and Cancellation Policy at /refund-policy/.
CloudyFy TV retains all rights, title, and interest in and to the Service, including all intellectual property rights. You may not use any trademarks, logos, or other proprietary information of CloudyFy TV without its prior written consent.
You may cancel your subscription at any time. Cancellation is governed by the Fees and Payment clause above: it stops the next renewal, and your access to the Service continues until the end of the billing period already paid for. The Refund and Cancellation Policy at /refund-policy/ describes the same mechanics.
CloudyFy TV may terminate this Agreement without cause by giving you advance notice. In that case your access continues for the notice period, and CloudyFy TV refunds the unused part of any period you have already paid for, calculated pro rata from the day access ends.
CloudyFy TV may suspend or terminate this Agreement immediately, without notice and without a refund, if you breach this Agreement, including the Restrictions above or a failure to pay. Suspension for non-payment is lifted once the outstanding amount is paid.
On termination for any reason, your access to the Service is disabled and you may no longer use it. What happens to your data afterwards is covered by the Data Processing clause below and by the privacy policy at /privacy-policy/.
Where this clause and the Fees and Payment clause could be read differently on a billing period you have already paid for, the Fees and Payment clause controls.
Where CloudyFy TV processes personal data on your behalf as part of the Service, the terms of our Data Processing Agreement apply. An outline is published at /dpa/, and a signed version is available on request.
To the fullest extent permitted by law, CloudyFy TV shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to this Agreement or the use of the Service.
You agree to indemnify and hold harmless CloudyFy TV, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Service or violation of this Agreement.
This Agreement, and any dispute or claim arising out of or in connection with it or its subject matter, is governed by and construed in accordance with the laws of India, without regard to its conflict of law rules.
The courts at Ahmedabad, Gujarat, India have exclusive jurisdiction over any such dispute or claim, and you and CloudyFy TV each submit to the jurisdiction of those courts.
CloudyFy TV may modify or update this Agreement. The most current version of the Agreement supersedes all previous versions, and the date it was last updated is shown on this page.
For a change that materially affects your rights or obligations, CloudyFy TV gives notice at least 30 days before the revised terms take effect, by email to the account contact or through a notice in the Service. Continued use of the Service after that notice period has run constitutes your acceptance of the revised terms. If you do not accept a material change, you may cancel before it takes effect, and cancellation follows the Fees and Payment clause above.
A change that does not affect your rights or obligations, such as a correction or a clarification, takes effect when it is published here.
This Agreement constitutes the entire agreement between you and CloudyFy TV regarding the Service and supersedes all prior agreements or understandings, whether oral or written.
By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
